LTCG on off-market share sales and offset against LTCG

    Few of my FMPs matured after 3 years and even after applying indexation , there will be tax liability on LTCG.
    I do have some non performing shares bought at higher prices through exchange long back, can i book Long Term Capital Loss by selling them now though off-market deliveries and adjust this loss against the LTCG as above ? Also can i apply indexation on the purchase price of these shares ?

    long term capital loss arising on shares on which already STT has already been paid can not be set with other capital gain.

    If the shares will be sold off market then question of STT will not arise and hence the same can not be treated to be as exempted and consequently loss can be adjusted.
    S.10(38) is not applicable and normal provisions will apply.
    Loss can be adjusted.

    The shares are sold off-market , without STT . However those shares were purchased through exchange .
    please revert if loss from this sale without STT can be set off with LTCG?
